1. Agreement to Terms
By creating an account, accessing, or using the Provsure platform ("Platform"), you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.
These Terms constitute a legally binding agreement between you and PROVSURE Healthcare Technologies ("Provsure", "we", "us", "our"), a company established in the United Arab Emirates.
By clicking "I agree to the Terms of Service and Privacy Policy" during registration, you confirm that you have read, understood, and accepted both these Terms and our Privacy Policy.
2. Definitions
"Platform" means the Provsure web application, mobile application, APIs, and all related services accessible at provsure.com, provsure.ae, or any successor domain.
"CPD" means Continuing Professional Development, also referred to as Continuing Medical Education (CME), as required by UAE health regulatory authorities for license renewal.
"Content" means the CPD requirement information, compliance guidance, regulatory summaries, event listings, and educational content provided through the Platform.
"User Data" means all information, documents, certificates, and data you upload to or create within the Platform.
"Authorities" means the UAE health regulatory authorities, including but not limited to the Department of Health — Abu Dhabi (DOH), Dubai Health Authority (DHA), Sharjah Health Authority (SHA), Ministry of Health and Prevention (MOHAP), and Dubai Healthcare City (DHCC).
3. Nature of the Platform — Important Disclaimers
3.1 Provsure Is a Technology Platform
Provsure is a software tool designed to assist healthcare professionals in tracking and managing their CPD compliance obligations. Provsure is not a regulatory authority, licensing body, government agency, accreditation body, legal advisor, or healthcare provider. Provsure does not issue, renew, suspend, or revoke any professional license.
3.2 No Regulatory or Legal Advice
The Content provided on the Platform, including CPD requirement summaries, compliance dashboards, gap analyses, alerts, and recommendations, is provided for informational and organisational purposes only. It does not constitute regulatory advice, legal advice, or professional guidance of any kind. The Content is not a substitute for reading the official regulations, circulars, and guidelines published by the relevant Authorities.
3.3 Regulatory Information May Change
CPD requirements, regulations, circulars, and policies are issued and amended by the Authorities at their sole discretion. While Provsure makes reasonable efforts to maintain accurate and current information, there may be a delay between a regulatory change and the corresponding update on the Platform. Provsure does not warrant that the Content reflects the most current version of any regulation at any given time.
3.4 User Responsibility for Compliance
You are solely responsible for ensuring that you comply with all applicable laws, regulations, circulars, and requirements of the Authority or Authorities under which you are licensed. This includes, but is not limited to, meeting CPD hour requirements, category splits, specialty ratios, submission deadlines, and any other conditions for license renewal.
You must independently verify all CPD requirements with the relevant Authority. You must not rely solely on the Platform as your sole source of regulatory information.
3.5 No Guarantee of Compliance Outcomes
Use of the Platform does not guarantee that your license will be renewed, that your CPD submissions will be accepted by any Authority, or that you will avoid any regulatory action. Provsure makes no representation or warranty regarding the outcome of any license renewal or compliance audit conducted by any Authority.
4. Eligibility and Account Registration
4.1 Eligibility
You must be at least eighteen (18) years of age and a licensed or licence-eligible healthcare professional in the United Arab Emirates to create an account. By registering, you represent and warrant that you meet these eligibility criteria.
4.2 Account Accuracy
You agree to provide accurate, complete, and current information during registration and to update such information promptly if it changes. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4.3 Institutional Accounts
If your account is provided through your employer ("Institutional Account"), additional terms may apply as agreed between Provsure and your employer. Your employer may have access to your compliance status as part of their institutional compliance dashboard, subject to applicable consent and data protection requirements as described in our Privacy Policy.
5. Use of the Platform
5.1 Permitted Use
Provsure grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for the purpose of tracking and managing your personal CPD compliance.
5.2 Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
- Upload false, misleading, or fraudulent information, certificates, or documents;
- Attempt to gain unauthorised access to any part of the Platform or its underlying systems;
- Interfere with or disrupt the Platform or its infrastructure;
- Reverse engineer, decompile, or disassemble any aspect of the Platform;
- Resell, sublicense, or commercially exploit the Platform without our prior written consent;
- Use the Platform to generate data, analytics, or reports for competitive purposes;
- Impersonate another user or healthcare professional.
5.3 Certificate Processing
The Platform uses artificial intelligence and optical character recognition (AI/OCR) to process CPD certificates you upload. You acknowledge that:
- AI/OCR processing may produce errors, and you are solely responsible for reviewing and confirming the accuracy of all extracted data before it is recorded;
- Provsure does not verify the authenticity or validity of any certificate you upload;
- The submission of fraudulent or falsified CPD certificates is a serious offence under UAE law and the regulations of the relevant Authorities.
6. Fees and Payment
6.1 Free and Premium Tiers
Provsure offers both free and paid subscription tiers. Features available under each tier are described on the Platform and may change from time to time.
6.2 Subscription Terms
Paid subscriptions are billed in advance on a monthly or annual basis as selected at the time of purchase. All fees are stated in UAE Dirhams (AED) and are inclusive of applicable UAE Value Added Tax (VAT) at the prevailing rate.
6.3 Refund Policy
Subscription fees are non-refundable except where required by applicable UAE law. You may cancel your subscription at any time, and your access to premium features will continue until the end of the current billing period.
7. Intellectual Property
7.1 Provsure IP
The Platform, including its software, design, logos, trademarks, text, graphics, and all underlying technology, is the property of Provsure or its licensors and is protected by UAE Federal Decree-Law No. 38 of 2021 on Copyrights and Neighbouring Rights and applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited licence in Section 5.1.
7.2 User Data
You retain ownership of all User Data you upload to the Platform. By uploading User Data, you grant Provsure a limited, non-exclusive licence to store, process, and display your User Data solely for the purpose of providing the Platform's services to you.
8. Limitation of Liability
8.1 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. PROVSURE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, PROVSURE DOES NOT WARRANT THAT:
- THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
- THE CONTENT IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE;
- THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
- ANY ERRORS OR DEFECTS WILL BE CORRECTED.
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, IN NO EVENT SHALL PROVSURE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR ANTICIPATED SAVINGS;
- LOSS OF OR DAMAGE TO PROFESSIONAL REPUTATION OR STANDING;
- LOSS OR SUSPENSION OF ANY PROFESSIONAL LICENSE;
- COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES;
WHETHER ARISING FROM CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF PROVSURE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.3 Aggregate Liability Cap
PROVSURE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO PROVSURE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED UAE DIRHAMS (AED 100), WHICHEVER IS GREATER.
8.4 Release of Liability
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT PROVSURE SHALL HAVE NO LIABILITY WHATSOEVER ARISING FROM OR RELATING TO:
- YOUR RELIANCE ON THE CONTENT OR ANY INFORMATION PROVIDED THROUGH THE PLATFORM FOR COMPLIANCE PURPOSES;
- ANY DECISION MADE OR ACTION TAKEN BY YOU BASED ON THE CONTENT;
- ANY REGULATORY ACTION, LICENCE SUSPENSION, LICENCE REVOCATION, FINE, PENALTY, OR OTHER ADVERSE CONSEQUENCE IMPOSED BY ANY AUTHORITY;
- THE ACCURACY, COMPLETENESS, OR TIMELINESS OF CPD REQUIREMENT INFORMATION DISPLAYED ON THE PLATFORM;
- ERRORS OR INACCURACIES IN AI/OCR PROCESSING OF YOUR CERTIFICATES.
YOU HEREBY RELEASE AND DISCHARGE PROVSURE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES FROM ANY AND ALL CLAIMS, DEMANDS, AND DAMAGES OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THE PLATFORM.
9. Indemnification
You agree to indemnify, defend, and hold harmless Provsure and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the Platform;
- Your breach of these Terms;
- Your violation of any applicable law, regulation, or right of any third party;
- Any false, misleading, or fraudulent information or documents you provide through the Platform;
- Any claim by a third party arising from your use of the Platform.
10. Third-Party Services and Events
10.1 Course and Event Listings
The Platform may display CPD courses, events, and other educational offerings provided by third parties ("Providers"). Provsure does not endorse, guarantee, or assume responsibility for any Provider, their courses, their accreditation status, or the CPD credits they claim to offer. You are responsible for independently verifying the accreditation and credit eligibility of any course or event.
10.2 Sponsored Content
Where content on the Platform is sponsored by a Provider, it will be clearly labelled as "Sponsored." Sponsored placement does not constitute an endorsement by Provsure. Course recommendations generated by the Platform are based on your compliance gaps and are not influenced by Provider payments unless explicitly marked as Sponsored.
11. Suspension and Termination
11.1 Termination by You
You may delete your account at any time through the Platform settings or by contacting us at info@provsure.com. Upon deletion, your User Data will be handled in accordance with our Privacy Policy.
11.2 Termination by Provsure
Provsure may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to breach of these Terms, submission of fraudulent documents, or inactivity.
11.3 Effect of Termination
Upon termination, your right to access the Platform ceases immediately. Sections 3, 7, 8, 9, 12, and 13 shall survive termination.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the applicable laws of the Emirate of Abu Dhabi.
12.2 Jurisdiction
Any dispute arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Abu Dhabi, United Arab Emirates.
12.3 Amicable Resolution
The parties shall first attempt to resolve any dispute amicably through good-faith negotiation for a period of thirty (30) days before initiating formal legal proceedings.
13. General Provisions
13.1 Modifications
Provsure reserves the right to modify these Terms at any time. Material changes will be communicated to you via the email address associated with your account or through a notice on the Platform at least fourteen (14) days before the changes take effect. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Terms.
13.2 Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
13.3 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Provsure regarding the use of the Platform and supersede all prior agreements and understandings.
13.4 No Waiver
The failure of Provsure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
13.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Provsure may assign these Terms without restriction.
13.6 Language
These Terms are drafted in English. In the event of any conflict between an English version and any translation, the English version shall prevail.
13.7 Force Majeure
Provsure shall not be liable for any failure or delay in performing its obligations where such failure or delay arises from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, or cyberattacks.
